As part of a significant restructuring, Hercules  Investment Limited (HIL) Formerly known as Hercules Hoist limited, underwent a demerger on August 2, 2024, following an Order from the Hon’ble National Company Law Tribunal, Mumbai. This transformation resulted in the creation of two distinct companies—HIL and Indef Manufacturing Limited (IML)—each focused on their respective core competencies.

HIL’s Transition to a Core Investment Company

Post-demerger, Hercules Investment Limited (Formerly Known as Hercules Hoist Limited) transitions into an unregistered Core Investment Company (CIC), as defined by the Reserve Bank of India’s CIC Regulations, 2020. While the manufacturing operations have been transferred to IML, HIL retains its broad portfolio of investments, covering both listed and unlisted companies across the group’s ecosystem. This new structure allows HIL to focus exclusively on investment management, strategically allocating resources and capital to foster growth within the group.

Indef Manufacturing Limited (IML) was born from the restructuring of Hercules Investment Limited (HIL) (Formerly Known as Hercules Hoist Limited), as per the Hon’ble National Company Law Tribunal’s Order dated August 2, 2024. This demerger has allowed for a clearer distinction between HIL’s investment activities and its manufacturing operations, which are now fully owned and operated by IML.
